Kit assists clients in the design and structuring of major corporate transactions, including mergers, acquisitions, joint ventures and strategic alliances. He also provides counsel on operational and governance issues and on legal matters and business issues ranging from contracting and commercial transactions to strategic initiatives involving health care compliance, tax exemption, debt financing, medical staff organization, patient rights and antitrust. Kit has frequently served as “deal counsel” or facilitator in negotiations among partners in various types of integration transactions.
Kit has served as lead and outside general counsel for numerous health care organizations, ranging from small physician clinics to the largest independent hospital in the Minneapolis/St. Paul metropolitan area. Kit also served in key leadership positions at his former law firm, including president and CEO, during which time, the firm doubled in size, expanded several key practices, and received recognition as one of the region’s top corporate law firms. As a result of this extensive, first-hand experience, he understands both the business and legal challenges facing today’s health care providers and delivers imaginative, practical solutions that balance real-world pressures and opportunities.
In addition to his transactional and counseling work, Kit has broad experience negotiating and resolving business disputes. He has managed health care-related litigation and represented individual and corporate clients who are targets of government investigations. He regularly advises governing boards and executive teams, and he has helped develop and implement crisis-management communications strategies to address media investigations.
Kit has been recognized by his legal peers as a top national health care attorney in Best Lawyers in America since 1991, when the publication first recognized health law as a unique legal discipline.
Kit is a member of the National Health Lawyers Association, the American Bar Association (Health Law Section), and the Minnesota State Bar Association, for which he co-founded the Health Law Section and served previously as the chair of the Section’s Governing Council.
Kit is the author of numerous published articles, and he has presented and taught on many health care-related topics, including clinic-hospital affiliations and mergers, Stark Law requirements, competition, and antitrust issues, physician ownership of insurance companies, health care contracting, physician non-compete agreements, credentialing, and medical staff matters, and—beginning nearly two decades ago—national health care reform.
Kits favorite times are with his family, especially at his cabin on the St. Croix National Scenic Riverway.
